Terms of Service

These Terms of Service ("Terms") are an agreement between you and Wendy Muzzy, LLC ("we," "us," or "our"). They apply to your purchase and use of our digital products, courses, memberships, subscriptions, software, templates, and related services (together, our "Products"), and to our websites.

By purchasing, accessing, or using a Product, you agree to these Terms and to our Privacy Policy wendymuzzy.com/privacy and Refund Policy wendymuzzy.com/refund. If you don't agree, please don't buy or use our Products.

1. Who can use our Products

You must be at least 18 years old and able to enter a binding contract. If you're buying for a business, you confirm you have authority to bind that business to these Terms.

2. Your account

Some Products require an account. You agree to:

  • Provide accurate information and keep it up to date
  • Keep your login details confidential and not share your account
  • Tell us right away if you think your account has been accessed without your permission

You're responsible for activity that happens under your account. Access is for one person only unless your Product's description says otherwise.

3. Purchases, payments, and subscriptions

Checkout. Orders are placed through ThriveCart and its payment partners. By purchasing, you authorize us and our payment providers to charge your payment method for the price shown at checkout, plus any applicable taxes. Prices may change, but a price change won't affect a purchase you've already made or (for subscriptions) your current billing period.

One-time purchases. You pay once for the Product or program described at checkout.

Payment plans. If you choose a payment plan, you agree to pay every installment when due. Access may be paused or ended if payments fail.

Subscriptions and memberships. Subscriptions renew automatically at the interval shown at checkout (for example, monthly or yearly) until you cancel. Each renewal is charged to your payment method on file. You can cancel at any time in your Product settings, through your ThriveCart receipt or account, or by contacting us. When you cancel, you keep access through the end of the period you've already paid for, and you won't be charged again. We don't prorate or refund partial billing periods.

Failed payments. If a payment fails, we may retry it, suspend your access, or cancel your subscription.

No refunds. All sales are final. Please see our Refund Policy wendymuzzy.com/refunds.

4. What you're buying: license and access

When you buy a Product, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use it for your own personal or internal business use, for as long as you have access (and subject to these Terms). Buying a Product does not transfer ownership of it or any of its content to you.

Unless a Product explicitly says otherwise, access to a course, membership, or software Product lasts for as long as you have an active subscription or, for one-time purchases, for as long as we continue to offer the Product. We may modify, update, or discontinue Products, and we'll try to give reasonable notice when we do.

5. Intellectual property

We own or license everything in our Products and websites, including course lessons, videos, audio, worksheets, templates, software, code, text, graphics, logos, and branding ("Our Content"). It's protected by copyright, trademark, and other laws.

You may not:

  • Copy, resell, redistribute, share, sublicense, or publicly post Our Content or your login access
  • Record, download, or repackage course content, or use it to create a competing product or program
  • Reverse engineer, scrape, or attempt to extract the source code of our software
  • Remove copyright or proprietary notices
  • Use our name, branding, or Products to imply endorsement by us

6. Your content and data

You keep ownership of the content and data you add to a Product ("Your Content"), such as contact records, notes, and settings. You give us a limited license to store, process, and display Your Content only as needed to provide the Product to you.

You're responsible for Your Content, and you promise that you have the right to add it and that doing so doesn't violate anyone's rights or any law. For example, if you store information about other people in a Product, you're responsible for handling that information lawfully and respectfully.

7. Third-party services and AI features

Some Products work with services we don't control, such as Airtable, Anthropic, ThriveCart, or Supabase. Your use of those services is governed by their own terms and privacy policies, and you're responsible for your own accounts with them, including any fees, API keys, and usage costs they charge you.

Where a Product offers AI features:

  • AI-generated output can be inaccurate, incomplete, or inappropriate. You're responsible for reviewing anything before you rely on it or send it to others.
  • Content you submit to an AI feature is sent to the AI provider you've connected. Please don't submit information you're not allowed to share.

We aren't responsible for outages, changes, or actions of third-party services, or for any loss that results from them.

8. Acceptable use

You agree not to:

  • Break the law or violate anyone's rights using a Product
  • Share your account, or let others use your access
  • Harass, abuse, or spam other members or us
  • Upload malware or interfere with or overload our systems, security, or infrastructure
  • Attempt to access accounts, data, or systems that aren't yours
  • Use a Product to send unsolicited bulk messages or to scrape or harvest personal information
  • Misuse a publicly shared link (such as a Share Card or Introduce Yourself link), including submitting false, deceptive, or abusive information through it

We may suspend or end access if we reasonably believe you've broken these rules.

9. Community and membership spaces

If a Product includes a community or group, you agree to be respectful and follow any posted community guidelines. What you post may be visible to other members. We may remove content or members at our discretion to keep the space safe and useful.

10. Results and earnings disclaimer

Our Products offer education, tools, and general business information. They are not legal, financial, tax, or professional advice. We make no promises about your results. Any examples or income or client outcomes we share are illustrations only and are not typical or guaranteed. Your results depend on many things, including your effort, experience, market, and decisions, and you're responsible for those decisions.

11. Termination

You may stop using a Product or cancel a subscription at any time (see Section 3). We may suspend or end your access at any time if you break these Terms, if a payment fails or is reversed, or if we discontinue a Product. Ending your access does not entitle you to a refund. Sections that by their nature should continue (such as intellectual property, disclaimers, limits on liability, and dispute terms) survive termination.

If you delete your account in a Product, we'll cancel any related subscription and delete your account data as described in our Privacy Policy.

12. Disclaimers

THE PRODUCTS AND OUR WEBSITES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DON'T WARRANT THAT THE PRODUCTS WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DATA WILL NEVER BE LOST. YOU ARE RESPONSIBLE FOR KEEPING YOUR OWN BACKUPS OF IMPORTANT INFORMATION.

Some places don't allow certain disclaimers, so some of these may not apply to you.

13. Limitation of liability

TO THE FULLEST EXTENT ALLOWED BY LAW, WENDY MUZZY, LLC AND ITS OWNER, EMPLOYEES, CONTRACTORS, AND AFFILIATES WON'T BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO THE PRODUCTS OR THESE TERMS, EVEN IF WE WERE TOLD THEY MIGHT HAPPEN.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE PRODUCTS OR THESE TERMS WON'T EXCEED THE AMOUNT YOU PAID US FOR THE PRODUCT THAT GAVE RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

14. Indemnification

You agree to defend and hold harmless Wendy Muzzy, LLC and its owner, employees, and contractors from claims, damages, and expenses (including reasonable attorneys' fees) arising from your misuse of a Product, Your Content, or your violation of these Terms or of anyone else's rights.

15. Governing law and disputes

These Terms are governed by the laws of the State of South Carolina, without regard to its conflict-of-law rules. Before filing a claim, you agree to contact us at support@wendymuzzy.com and try to resolve the dispute informally for at least 30 days.

If we can't resolve it, any dispute will be brought exclusively in the state or federal courts located in Calhoun County, South Carolina, and you and we consent to that jurisdiction.

16. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll update the "Last updated" date and, where appropriate, notify you by email or in the Product. Continuing to use a Product after changes take effect means you accept the updated Terms. Changes won't apply retroactively to a purchase you've already made in a way that increases what you owe.

17. General

  • Entire agreement. These Terms, the Privacy Policy, and the Refund Policy are our entire agreement about the Products.
  • Severability. If any part of these Terms is unenforceable, the rest stays in effect.
  • No waiver. If we don't enforce a right, we haven't given it up.
  • Assignment. You can't transfer your rights under these Terms. We may assign ours, for example in a sale of our business.
  • Notices. We may send notices to the email address on your order or account. This includes transactional messages (receipts, login links, access and billing notices, and important updates).
  • Emails from us. By creating an account or making a purchase, you agree that we may email you at the address you provide. This includes occasional marketing emails, such as tips, product news, and offers. You can unsubscribe from marketing emails at any time using the link in any marketing email, or by emailing support@wendymuzzy.com. You’ll still receive necessary transactional messages.
